Mr. Roseman’s practice focus is in corporate and real estate transactional work, debt restructure and finance.

He provides general corporate services and business advice to a variety of privately held and not-for profit businesses.. He organizes corporate structures and conducts legal audits. He drafts and negotiates various types of contracts, such as complex stock and asset acquisition agreements, executive compensation arrangements, financing agreements, and asset-based security agreements. For start-up companies, Mr. Roseman helps develop business plans and establish viable capital foundations. For more-established businesses, he assists in strategic planning. He advises at all stages of a real estate project, from acquisition through financing, construction, leasing, management, and disposition. Mr. Roseman negotiates and drafts lease agreements for both landlord and tenant clients. He provides complete services in settling and closing large-scale real estate acquisitions and financing transactions, including negotiating sales contracts for sellers and buyers and preparing corporate, partnership and limited liability company organizational documents. He also assists in securing construction and permanent financing and negotiates loan documents for lenders and developers. In addition, Mr. Roseman counsels financial institutions and borrowers in structuring financial transactions and in strategic bankruptcy planning. He also represents financial institutions on loan collection and real estate matters. He also has extensive experience in commercial residential real estate transactions and has represented lenders, developers, and investors in the areas of project finance, development and management. Mr. Roseman has extensive experience representing foreign investors in their acquisition of real estate and has represented U.S. investors in the acquisition, finance development and management of property overseas.

In addition, he is able to effectively and efficiently provide whatever supplemental legal services in the securities, tax and litigation areas are required to achieve the objectives of each client, by collaborating with trusted colleagues.

Mr. Roseman is well known throughout the metropolitan region for his ability to handle complex multiparty transactions and his success over forty-three years of practice stems from the return of his current clients for their next transaction, their word of mouth referral to their business colleagues, and from inquiries by the parties on the other side of a transaction seeking the same level of commitment and dedication for their next matter that Mr. Roseman regularly provides to each of his clients. Mr. Roseman has several clients that have worked with him for more than forty years.

Mr Roseman has been very active in the not for profit arena serving as outside general counsel and as an officer of several organizations for nearly 30 years.

Mr. Roseman is the former Secretary and now Treasurer, Chair of the Finance Committee, member of the Executive and Development Committees and member of the Board of Directors since 2009 of The ALS Association DC/MD/VA Chapter. Mr. Roseman is the former President and Chairman of the Board of Hillel at the George Washington University, Inc. a not for profit 501 (c)(3) organization, former President and Advisory Board Member of the Rockville Arts Place, the former Vice President and member of the Board of Directors of the Montgomery Youth Hockey Association, the former Vice-President and current Treasurer and Legal Director of the Maryland Student Hockey League, a not for profit 501 (c)(3) organization and its predecessor organization. In addition Mr. Roseman was the Founding President and administrator and President for more than fifteen years of the Winston Churchill High School Hockey Club, Inc., a not for profit 501 (c)(3) organization. Mr. Roseman served as the chairman of the Task Force on Allocations for the Jewish Federation of Greater Washington and has served as a member of the group’s Planning & Allocations Committee and several of its sub-committees. 

In January of 2011 Mr. Roseman established his own firm to more effectively and cost-efficiently represent his clients. Previously, Mr. Roseman served as the managing principal of the Tysons Office of Miles & Stockbridge P.C. Mr. Roseman also served as the practice group leader of that firm’s Intellectual Property Practice Group. Prior to joining Miles, Mr. Roseman was with the Washington, D.C. and Tysons Corner Virginia Office of Williams Mullen where he served as regional head of the Real Estate Practice Group and as that firm’s Administrative Partner in the Tysons Corner Office. From 1991 to March 1996 he was with the Washington, D.C. law firm Galland, Kharasch, Morse & Garfinkle and served as Chair of the firm’s Business and Commercial Group. A founding partner of the Bethesda, Maryland firm Lerch, Early, Roseman and Brewer, Mr. Roseman practiced with that firm from 1973 to 1991 and served intermittently as Chairman of that firm and as a member of that firm’s Executive Committee as well as Chair of the firm’s Real Estate Practice Group.

Mr. Roseman is a 1969 graduate of Boston University. He received his law degree in 1972 from George Washington University. He is admitted practice law in the state of Maryland and the District of Columbia.
